Barry D. Lapides concentrates his practice in representing developers in all aspects of commercial real estate transactions. He has represented developers, investors and investment funds in connection with the sales, acquisitions, financing and related transactions of vacant land, shopping centers, apartment complexes and distressed properties as well as many other various real estate projects throughout Florida. Mr. Lapides also has extensive experience representing developers and lending institutions in every aspect of developing and financing condominiums (residential, commercial and mixed use), PUDs and residential communities. Additionally, Mr. Lapides has considerable experience in handling loan modifications, workouts, restructurings and foreclosures, as well as representing landlords and tenants in commercial lease negotiations.
Moreover, Mr. Lapides has substantial experience in representing individuals and entities, including condominium and homeowner associations, in all aspects of their commercial litigation matters, including, but not limited to, construction defect cases and complex contractual disputes.
Mr. Lapides is a 2003 graduate, with honors, of the University of Florida Levin College of Law, where he was Executive Student Works Editor of the Florida Journal of International Law, and a graduate of Emory University. He also holds an LL.M. in Taxation from the University of Florida Levin College of Law, where he was associate editor of the Florida Tax Review.

Representative Matters
- Represented pharmaceutical company in its acquisition of an industrial warehouse in St. Petersburg, Pinellas County, Florida, which included advising the company on whether the warehouse could be converted into a facility for the research and manufacture of FDA-regulated products.
- Represented private equity fund in its joint-venture purchase of an apartment complex in North Lauderdale, Broward County, Florida for $13.25 million.
- Represented private equity fund in its acquisition and closing on undeveloped but partially entitled land in Boynton Beach, Palm Beach County, Florida. Conducted due diligence to determine the necessary steps to fully entitle the property and negotiated a management agreement with third-party managers to handle the land banking of the property.
- Represented a private equity fund in its acquisition and closing on undeveloped but partially entitled land in unincorporated Palm Beach County, Florida. Conducted due diligence to determine the necessary steps to fully entitle the property and ensure that all development agreements, including low-income housing credits and density credits with the county, were transferred to the new property owner. Drafted and negotiated a management agreement with third-party managers to handle the development of the property.
- Represented a private equity fund in its joint-venture acquisition of a shopping center in West Palm Beach, Palm Beach County, Florida, for $25.7 million. Closed all open and expired permits and finalized code-compliance cases.
- Represented a group of international investors in their purchase of a textile business in Doral, Florida.
- Represented lender in a bulk sale of more than 50 condominium units and the bulk sale of promissory notes for the remaining inventory located in Miami Beach, Miami-Dade County, Florida. Assisted the lender in turning over control of the condominium association to the unit owners.
- Represented an investor in the acquisition of a shopping center in Jacksonville, Duval County, Florida; conducted extensive due diligence on behalf of the client.
- Represented private equity fund in its purchase for $78 million of membership interest in a company that owned an apartment complex in Ft. Lauderdale, Broward County, Florida. Advised client on the status of the development of the project and outlined the steps necessary for the building to receive a certificate of occupancy.
- Represented a private equity fund in the acquisition of an apartment complex in Jacksonville, Duvall County, Florida for $34.5 million. Advised client on converting the apartment complex to condominiums.
- Represented a national homebuilder in its turnovers of condominium associations throughout Florida.
- Represented an investor in the acquisition of a shopping center in Orlando, Orange County, Florida for $18 million.
- Represented a private equity fund in the acquisition of a shopping center in Apopka, Orange County, Florida.
- Represented an investor in the acquisition of a shopping center in Greenacres, Palm Beach County, Florida for $38 million. Analyzed the process of developing the outparcels and the process of converting the use of a portion of the shopping center.
- Advised an international developer of a mixed-use project in Costa Rica regarding compliance with the Interstate Land Sales Full Disclosure Act.
- Represented private equity fund in its joint-venture development of a mixed-use development in Miramar, Broward County, Florida.
- Represented a German investor in the structuring and purchase of a 17,200-square-foot residential property on 1.1 acres in Miami Beach, Fla., for $16 million.
- Represented a private equity fund in the acquisition of an apartment complex in Miami, Miami-Dade County, Florida.
- Represented a private equity fund in the acquisition of a shopping center in Sunrise, Broward County, Florida for $19.45 million. Analyzed the processes for developing the outparcels and converting the use of a portion of the shopping center.
- Represented a private equity fund in the acquisition of an apartment complex in unincorporated Hillsborough County, Florida.
- Represented a private equity fund in the acquisition of a mixed-use complex in Naples, Collier County, Florida. Analyzed issues relating to a change in use of a portion of the property.
- Represented a private equity fund in the acquisition of property to be developed into a mixed-use project in Delray Beach, Palm Beach County, Florida.
- Represented an investment group in the acquisition of an apartment complex in Tamarac, Broward County, Florida for $20 million.
- Represented a national homebuilder in the formation of two community development districts. Negotiated the structure and terms of the districts with the county and worked with outside bond counsel.
- Represent condominium association in a construction defect suit brought against a contractor it had hired to conduct concrete restoration on a residential building in Miami Beach, Florida. Obtained final judgment and secured settlement funds from both the bond companies and insurance companies.
