Frederick W. Dreher practices in the areas of insurance, securities and banking law, and mergers and acquisitions. Representative Matters
- Represented REIT in $90 million 144A convertible senior note offering.
- Represented NYSE-listed manufacturing and engineering company in its $330 million merger with PEM Holding Co., an affiliate of a New York private investment partnership, and filed appropriate proxy statement.
- Counsel to a publicly held real estate investment trust as issuer in its $50 million offering of trust preferred securities.
- Counsel to a national bank and its various lending subsidiaries. Duane Morris represents the national bank in cases involving the Truth In Lending Act, the Home Owner Equity Protection Law, the Real Estate Settlement Procedures Act and other types of litigation in federal and state court proceedings.
- Bay View Capital Corporation and Bay View Bank. The liquidation of a New York Stock Exchange traded bank holding company to be effected through a $3 billion purchase and assumption agreement with U.S. Bank and a $1 billion mortgage loan purchase by Washington Mutual Bank and other selected asset sales.
- The acquisition by Donegal Mutual Insurance Company of control of a mutual property and casualty insurance company in Iowa through the use of surplus notes with the ultimate goal of a demutualization. This was the first time such a transaction has been effected in Iowa.
- The acquisition of control of Keefe Managers, Inc., the premier bank underwriting firm, of control of the company from the Estate of Harry B. Keefe, Jr.
- The implementation of a high vote and low vote two class voting structure for Donegal Group Inc. in which both classes of stock became listed on the Nasdaq National Market System.
