Representative Matters
- Represented StarQuartz Industries, Inc., a specialty grout company, in the sale of all of its outstanding stock to Bostik, Inc., a subsidiary of Total S.A., for $31 million.
- Represented an early-stage venture capital firm as lead investor in a $3.32 million Series A financing for Retroficiency, Inc., a provider of on-demand building efficiency intelligence solutions.
- Represented Salar, Inc. in the sale of 100 percent of its outstanding equity securities in a reverse triangular merger to Salar Acquisition Corp., a wholly owned subsidiary of Transcend Services, Inc. (NASDAQ:TRCR), for $11 million cash.
- Closed on behalf of Institutional Financial Markets, Inc. a debt-exchange transaction, which included the preparation and filing of tender offer documents allowing debt holders to exchange their existing convertible notes for new convertible notes as well as the preparation and filing of a Form T-3 with the Securities Exchange Commission.
- Represented Guardian Capital Partners in its acquisition of majority interest in R&D Circuits, Inc., a New Jersey-based manufacturer of printed circuit boards, for an undisclosed sum.
- Represented Iroko Holdings S.A., in its acquisition of 100 percent of the outstanding equity securities of iCeutica Inc., which owns a patented technology that facilitates the dissolution of drugs in the body.
- Represented GrainCorp Ltd., an Australian publicly held agribusiness, in its acquisition of United Malt Holdings, the world's fourth largest commercial malt producer, for $655 million.
- Represented a leading global provider of real-time simulation and training solutions to the power, process, manufacturing and government sectors, and closed a $17-million hybrid PIPE / public offering to sell 2.875 million shares of its common stock.
- Completed the sale of SecureNet LLC, a Maryland limited liability company, in a two-part deal consisting of the sale of assets to SecureNet, LLC, a Delaware limited liability company, and the sale of SecureNet, LLC's membership interests to Sterling Capital Partners for an undisclosed purchase price.
