Sean Zabaneh represents clients nationally in state and federal courts in the area of complex commercial litigation. Mr. Zabaneh is an associate in the firm’s Commercial, Securities, and Antitrust Litigation Group and has significant experience in securities law, antitrust law, commercial fraud and contract litigation.
Mr. Zabaneh is a 2005 graduate of the Washington University School of Law, where he was a notes editor of the Washington University Journal of Law and Policy, and received his undergraduate degree from Case Western Reserve University.
Representative Matters
- Defending international commercial bank and investment bank in multibillion-dollar fraud litigation involving allegations that the banks assisted officers and directors in defrauding a cable company and its shareholders.
- Obtained summary judgment in favor of director and shareholder on breach of fiduciary duty and fraud claims arising from down-round financing at a startup technology company.
- Representing venture capital firm in securities fraud and breach of fiduciary duty dispute involving shareholders, lenders and chief executive officer.
- Defending leading investment banking firm and medical device manufacturer in the defense of claims for breach of contract, fraud/misrepresentation, and securities law violations arising out of a $225 million merger agreement.
- Representing franchise heavy-duty truck dealer in antitrust case involving illegal price-fixing agreements that violate Section 1 of the Sherman Act.
- Represented independent heavy-duty truck distributor in antitrust case involving illegal coordinated boycott and refusal to deal arrangements that violate Section 1 of the Sherman Act.
- Defended group of physicians in connection with Federal Trade Commission investigation of potential collective price negotiations, boycotts and refusals to deal in violation the Federal Trade Commission Act.
- Represented hospital in connection with U.S. Department of Justice antitrust investigation involving alleged agreements among physicians in violation of Section 1 of the Sherman Act.
- Defended dialysis company and obtained dismissal of all claims in a case involving alleged violations of non-competition and non-solicitation agreements.
- Defended a global pharmaceutical company in breach of contract and patent infringement cases involving the company's premier biological product.
- Defended healthcare consultant in U.S. Department of Justice investigation of consultant activities involving hospital billing of Medicare.
- Defended truck distributor against claim of trademark infringement arising out of use of truck body company logo on distributor's website. Claims dismissed with prejudice.
- Represented national ice cream franchisor in trademark and copyright infringement litigation against terminated franchisee.
- Defended global medical device manufacturer in over 40 consolidated cases brought by plaintiffs alleging improper off-label use of biologic products, illegal kickbacks, fraud and product liability.
- Representing major international business software developer in breach of contract action against numerous global companies.
- Representing class of dentists and periodontists asserting claims for breach of warranty and consumer fraud against major manufacturer of dental equipment.
- Defending truck distributor against claim for conspiracy to defraud a major truck manufacturer.
