About the Seminar
We are at the beginning of a new wave of corporate bankruptcy cases. There are new capital structures with a multitude of investors who have different objectives. Many issues are arising within this changing landscape, and we will discuss a wide range of matters affecting a number of constituencies. Our presentation should be of particular interest to bankers, non-bank lenders, investment bankers, private equity investors, hedge fund managers, credit managers, claims and asset purchasers, consultants, attorneys and others in the credit and commercial financing industries. We will review recent developments, focusing on:
21st Century Corporate Bankruptcy: How Things Are Different This Time Around
- Control Issues and Lender Liability — Examination of what to look for and what to avoid in order to successfully navigate the coming wave of lender liability litigation in today's capital markets.
- Mortgage Prepayment Premiums — Exploration of several new cases addressing whether prepayment premiums are enforceable in commercial real estate finance transactions.
- Fiduciary Duties — Brief discussion of fiduciary duties under Delaware law as they exist after the monumental shift in the law over the past year.
- Regulatory Approach to Managing Commercial Real Estate — Discussion of the FDIC's recent guidance concerning lenders' management of commercial real estate and construction and development loans in today?s uncertain real estate environment.
These and other topics will be discussed in an interactive setting, where your questions can be addressed by Duane Morris lawyers from around the country.
The seminar is offered to clients and friends of the firm at no charge; however, advance registration is required. Additional guests from your organization are welcome to attend. CLE credits, co-sponsored by ALI-ABA, are available at all locations.
