Duane Morris Partner Robert M. Fineman to Be Panelist at Complex Insurance Issues in M&A Due Diligence CLE Teleconference

Duane Morris partner Robert M. Fineman will be a panelist at a CLE teleconference titled "Complex Issues in M&A Due Diligence – Assessing Potential Risk and Minimizing Exposure in Corporate Dealmaking" on Tuesday, September 2, 2008, from 1 p.m. to 2:30 p.m. ET. Mr. Fineman will be part of a three-member panel, which will review questions of importance to companies considering a merger or an acquisition.
About the Teleconference
This 90-minute interactive panel discussion will be done through a live teleconference sponsored by Strafford Publications. The presentation will discuss best practices for evaluating insurance issues during M&A due diligence, including:
- Evaluating the structure of the target and buyer's insurance programs;
- Coverage implications with respect to corporate successor liability issues, contractual indemnification and additional insured issues;
- Assessment of the potential new liabilities;
- Evaluating the claims experience of the target company;
- The creation and use of different modeling scenarios for risk exposure; and
- Using the analysis in the negotiation of the deal.
