The Duane Morris Private Equity Forum will present a panel discussion, "Doing Deals in Difficult Times," as part of our continuing series examining current issues and best practices in the private equity marketplace. The event will take place on Monday, May 18, 2009 from 3 to 5 p.m. at The Millennium Broadway Hotel. A cocktail reception will follow the presentation.

About the Program

The program will also include a discussion of The BDO Consulting Survey The Value and Effectiveness of Corporate Anti-Fraud Programs, which studied private equity investors' experiences with corporate fraud, the prevention and early detection of fraud and the economic value driven by a comprehensive anti-fraud program. The discussion will present the summary findings of the survey and evaluate the support for anti-fraud initiatives, key findings and relevant applications for a wide range of audiences. David Snow, Moderator - Executive Editor, Private Equity International
David Snow is Executive Editor for PEI Media, the leading provider of information on alternative assets globally. In this role David serves in senior editorial roles for magazines Private Equity International, PEI Manager, PERE (Private Equity Real Estate) and Infrastructure Investor. Prior to joining PEI Media in 2003, David co-founded and served as editor-in-chief of PrivateEquityCentral.net, a New York-based website providing industry news and information to accredited investors. Prior to that he was editor of Buyouts newsletter, a Thomson/Reuters publication. David holds a Master of International Affairs from Columbia University and undergraduate degrees in Political Science and Chinese Studies from the University of California, San Diego. He hails from Honolulu, Hawaii.
Jake Foley, Panelist - Deutsche Bank
Jake Foley III is a Managing Director for Deutsche Bank since joining September 2006. He leads the Transaction Origination Group, acting as the bank's Private Equity Capital Market calling officer for corporate clients while driving idea generation for the leveraged buy-out firms and Sovereign Wealth Funds. The practice includes development of thematic work targeting key trends impacting the M&A environment. The role of private equity, hedge funds, leveraged finance, and the mergers and acquisition marketplace are studied continuously for the benefit of the bank's corporate calling effort. He formerly led the Transaction Development Group for Banc of America Securities for 4 years. He served the prior 9 years with Morgan Stanley leading the Business Development Group after working in the High Yield Bond department. He began his career in the leveraged loan group of First Chicago followed by 2 years with PaineWebber's High Yield Bond Group. He is a Chartered Financial Analyst and received both his Bachelor of Business Administration and Master of Professional Accounting degrees from The University of Texas at Austin in 1988. He is a member of The University of Texas Development Board and also chaired the Finance and Resources Committee of The Commission of 125 for UT.
Glenn Pomerantz, Panelist - BDO Consulting
Glenn Pomerantz is a partner in the New York office of BDO Consulting with over twenty years of forensic accounting, auditing and consulting experience. He conducts forensic accounting investigations, advises organizations on fraud prevention and provides expert witness services across a wide range of industries on behalf of in-house and outside counsel, boards of directors, audit committees, Internal Audit, management, insureds, underwriters, trustees and creditor committees. He has been admitted as an expert in both federal and state courts and has appeared before the Securities and Exchange Commission.
Paul Halpern, Panelist - VersaFund
Paul Halpern is a partner and general counsel of Versa Capital Management, a private equity firm managing $900 million of committed capital focused on control investments in special situations involving middle market companies. Mr. Halpern has invested in, managed and advised companies in special situations for more than 18 years. His experiences cover a wide spectrum of industries in circumstances ranging from underperformers to liquidations. Previously, he practiced insolvency law, specializing in business reorganizations and restructuring middle market companies. Recent Versa transactions include Central Lewmar, the leading paper merchant in the Northeast; Simplexity LLC, the largest internet provider of cell phones and activation services; and Central Parking, the world's largest operator of parking facilities.He is currently a director of Central Parking Corporation, Polartec LLC, Plymouth Rubber Co. LLC, Holliston LLC, Republic Storage Systems, Black Angus Steakhouse and Bob's Stores. Mr. Halpern received a J.D. from Stanford Law School (with distinction, law review and Order of the Coif) and his B.A. from Reed College (Phi Beta Kappa).
George Nemphos, Panelist - Duane Morris
George J. Nemphos is the managing partner of Duane Morris' Baltimore office and the Corporate Marketing Partner for the Corporate Practice Group. He is also a member of the firm's national governing Partners Board. Mr. Nemphos practices in the areas of corporate and securities law. He has extensive experience in representing both private and public companies, venture capitalists, angel investors and private equity funds. He frequently represents clients in mergers and acquisitions transactions as well as securities law, compliance and general corporate matters. Mr. Nemphos' clients have included emerging businesses, high-tech and telecommunications companies, private equity and venture capital funds, manufacturing companies, and companies in the capital markets, life sciences and homeland security industries.
