Duane Morris partners Robert Byer, Steven Richman and Jonathan Swichar will be part of a Pennsylvania Bar Institute (PBI) half-day seminar on "Boilerplate Clauses in Contracts: Use at Your Own Risk," in three different sessions: Thursday, May 10, 2012 in Philadelphia, Wednesday, June 13, 2012 in Mechanicsburg, and Wednesday, June 27, 2012, in Pittsburgh. Mr. Richman, who served as course planner for this session, will be at all three sessions, Mr. Byer in Pittsburgh, and Mr. Swichar in both Philadelphia and Mechanicsburg.
All attorneys use boilerplates in their contracts, and many people just cut and paste the language from one contract to another. Unless you tailor that clause to the particular needs of your client, that "cut and paste" clause will not accomplish your goals and it may well backfire on you after the contract is executed. Learn why certain clauses are used and how to make sure they are properly drafted to accomplish your client's goals and avoid future controversy. This seminar will address a wide range of questions and issues related to boilerplate clauses, including:
- What is a boilerplate? What are the uses, misuses, and importance of the boilerplate?
- Choice of law and choice of forum
- Arbitration and mediation clauses
- Miscellaneous clauses
- Limitations of damages and liquidated damages clauses
- Merger/entire agreement clause; no third-party beneficiaries clause
- Non-assignment clauses; force majeure
