Duane Morris Partners Jonathan Armstrong and Steven Richman to Present at Successfully Navigating Hazardous Waters: The Third Conference on Transatlantic Deals and Disputes

Duane Morris partners Jonathan Armstrong and Steven Richman will be presenters at the America Bar Association's (ABA) Section of International Law and German Bar Association's (DAV) International Section joint conference on Successfully Navigating Hazardous Waters: The Third Conference on Transatlantic Deals and Disputes, taking place June 2-3 in Frankfurt, Germany.

On Monday, June 3, Steven Richman will serve as program chair and moderator for "Navigating Cross-Border Professional Ethics: The Legal Terrain." Lawyers involved in cross-border litigation and transactions face a variety of professional ethics issues, ranging from resolving conflicts of interest to fee-sharing with local counsel and everything in between. Many lawyers default to the least common denominator of regulation in an excess of caution. The American Bar Association has been engaged in a years-long review of its model rules to see where and how such cross-border issues may be accommodated. This program explores the current state of the rules of professional practice affecting American and German lawyers engaged in cross-border practice.

Later that day, Jonathan Armstrong will discuss "Data Privacy for M&A Lawyers—How the Comprehensive Information Requirements of Due Diligence Collide With Limited-Purpose Processing Demands of Modern Data Privacy Laws." This panel will address German and U.S. data privacy trends from a cross-border transactional perspective and examine:

  • How the parties can exchange information in cross-border M&A transactions without violating data privacy laws
  • What considerations should go into determining the location of the virtual data room: Selection of "Bundes" Cloud versus U.S.-based servers
  • How the competing interests of global business can be reconciled with the individual demand for more privacy—will the global trend of comprehensive privacy regulation unduly limit international business transactions?
  • What cyber security measures M&A lawyers should take in order to protect the client information in the virtual data room?
