Stephen M. Honig to Speak at Sarbanes-Oxley Seminar

Duane Morris partner Stephen M. Honig will be a faculty member at a Lorman Education Services seminar on the Sarbanes-Oxley Act on August 18, 2005 at the Omni Parker House Hotel in Boston. Mr. Honig's portion of the seminar will be "Directors And Executives" and will address the topics of Certifications, Insider Loans, Disgorgement and Black-Outs, Code of Ethics, and Reporting Under Section 16, form 8-K.
Several years after Sarbanes-Oxley was enacted by Congress in response to major corporate, accounting and document destruction scandals, its reach has remade corporate governance in the United States; the impact of SOX has permeated public company governance and is finding its way into the board rooms of private and nonprofit enterprises. Major impacts include a drive for board independence, tightened audit and other committee practices, tightened internal compliance programs, and expensive retooling of accounting functions to meet Section 404 requirements.
