PIPEs
PIPEs, or private investments in public equity, often serve as an alternative for issuers needing to raise capital when the traditional public equity markets are unavailable. Our lawyers regularly advise issuers, investors and intermediaries in connection with private placements of equity, debt and hybrid securities, both convertible and fixed, and secured and unsecured, for public companies.
Drawing upon our securities and corporate finance knowledge and our depth of experience in the PIPEs market, we are often called upon to act as special counsel to create, document and close complex PIPEs structures, sometimes in a matter of days. We also assist public companies in registering the resale of the privately-placed securities in a timely manner to avoid the substantial penalties associated with late filing and delayed effective dates of these registration statements.
