Duane Morris represents statewide, regional and national trade associations. The firm's work for trade association clients includes, among other services, keeping board members advised of important new legal developments, reviewing and preparing minutes of board meetings, drafting association bylaws and policies and addressing concerns arising from potential violations of antitrust laws.

In representing our trade association clients, we have counseled them on a wide variety of tax issues, such as their tax-exempt status and UBIT. We have created, in appropriate circumstances, for-profit corporate subsidiaries of not-for-profit associations and structure those relationships so that the tax-exempt status of the not-for-profit associations can be preserved. We prepare numerous drafts of proposed legislation on behalf of our clients and are engaged in a substantial amount of group insurance work, including offshore captive insurance, rent-a-captive insurance programs and royalty programs.

The firm also drafts and reviews contracts between trade associations and meeting sites, such as convention centers, resorts and hotels and advises clients on such convention-related issues as liability insurance, convention cancellation insurance, accommodations for individuals with disabilities, music and entertainment licensure and the attempted imposition of business privilege and occupational privilege taxes on trade associations and exhibitors by convention centers.
