MIAMI, April 22, 2016—Duane Morris LLP is adding five partners to the firm’s Miami office. Robert A. Zinn joins the firm’s Corporate Practice Group; William D. Rohrer and Anastasios G. Kastrinakis join the firm’s Tax Practice within the Corporate Practice Group; Marsha G. Madorsky joins the firm’s Wealth Planning Practice Group; and Roger S. Goldman joins the firm’s Real Estate Practice Group. All five join Duane Morris from Carlton Fields Jorden Burt, P.A.

Robert A. Zinn is a seasoned transactional attorney with more than 25 years of experience, focusing on mergers and acquisitions and full-service representation of closely held companies, and leveraging his in-depth knowledge of all operational areas of the automotive industry. Zinn’s industry acumen includes sales, marketing, product development, manufacturing, procurement, retail distribution and international operations. An automotive industry veteran, he has extensive experience advising U.S. and Middle Eastern automotive clients on buy-sell agreements, manufacturer/distributor relations, dealer agreements, franchising, relocation, restructuring and consolidation. Zinn recently closed a deal on behalf of Saudi Arabian client Al Jomaih Auto Rental (AJAR), entering the company into a master franchising agreement with Enterprise Holdings Inc. that makes AJAR the master franchisee for all three of Enterprise’s rental car brands (Enterprise, National and Alamo) in the Gulf region.

Zinn’s legal industry experience includes long-term tenure as President of the Akerman firm, overseeing the growth and operations of its offices nationwide. Zinn is a 1985 graduate of Cornell Law School and a 1982 cum laude graduate of Emory University.

William D. Rohrer is an international tax attorney and a certified public accountant. His practice focuses on strategic tax planning for foreign and domestic clients, many of whom have tax issues spanning several tax jurisdictions. Rohrer’s experience covers business transactional planning, with emphasis on inbound, tax-advantaged structures for doing business (including investing in real estate) within the United States, and outbound foreign tax credit optimization structures. He represents multinational, public and closely-held companies doing business inside and outside the United States and several foreign real estate funds, fund managers and developers that invest in the United States. Rohrer also represents high net worth individuals, resident and non-resident, and their closely-held businesses. He advises on matters dealing with income tax and compensation planning; estate, gift and other transfer tax and trust planning; wealth preservation; and business succession planning, including pre-immigration income and estate tax planning for non-residents who are moving to the United States.

Rohrer earned his LL.M. in Taxation from New York University School of Law in 1987. He is a 1982 graduate of the Ohio State University Moritz College of Law and a 1978 cum laude graduate of Ohio State University.

Marsha G. Madorsky has more than 25 years of experience handling various estate, trust and guardianship matters. Her areas of practice include estate and trust administration and litigation; estate planning and wealth preservation for high net worth individuals; succession planning for closely-held businesses and family offices; guardianship administration and litigation; and federal estate, gift and transfer taxation. Madorsky handles all aspects of estate and trust matters, including probate and trust administration, representing fiduciaries or beneficiaries in Florida courts, with an emphasis on litigation involving probate matters, estates, trusts, guardianships and fiduciaries. She has represented institutions and individuals in a variety of contexts, including banks, corporate fiduciaries, personal representatives (executors), trustees, beneficiaries of estates and trusts, incapacitated persons, their families or guardians, surviving spouses and intestate heirs. She has lectured on various estate and trust topics for the Florida Bar continuing education seminars and for local civic and business organizations. She co-authored revisions to the seventh and eighth editions of the highly regarded Florida Guardianship Practice. Among other positions, Madorsky served as Chair of the Florida Probate Rules Committee of the Florida Bar.

Madorsky earned her LL.M. in Taxation from the University of Miami School of Law in 1983. She is a 1975 graduate of the University of Florida Fredric G. Levin College of Law and a 1972 graduate of the University of Florida.

Roger S. Goldman has extensive experience in complex and sophisticated real estate, financial and other business transactions, including commercial real estate acquisitions and sales, drafting and negotiating loan documentation, construction financing, and commercial lease drafting and negotiation. He has significant experience in the acquisition, financing, development and sale of assisted living facilities. Goldman represents clients in the purchase and sale of business and commercial ventures, drafting and negotiating asset and stock purchase agreements and shareholder agreements, and in the formation of corporations, partnerships and limited liability companies and other business entities. He also represents lenders and borrowers in mortgage and asset-based financing transactions, mortgage foreclosures and debt restructuring.

Goldman is a 1980 graduate, with honors, of the University of Maryland School of Law and a 1974 graduate, with highest honors, of the University of Maryland.

Anastasios G. Kastrinakis practices in the areas of international, corporate, partnership, and state and local taxation. His practice focuses on taxation of cross-border and domestic mergers and acquisitions and related issues, including investment fund formation and private equity transactions. He advises individuals, corporations, family offices and investment funds on the structure and tax aspects of various transactions and investments, particularly inbound transactions. In addition, he represents taxpayers undertaking voluntary disclosures under the IRS Offshore Voluntary Disclosure Program and also advises non-U.S. individuals and families on pre-immigration tax planning.

Kastrinakis earned his LL.M. in Taxation from New York University School of Law in 2005. He is a 2004 cum laude graduate of the University of Miami School of Law and a 2001 graduate of Cornell University.
