Duane Morris Miami Office Adds Corporate, Securities and Venture Capital Partner Leslie J. Croland

Les CrolandMIAMI, March 12, 2013—Duane Morris is pleased to announce that Leslie J. Croland has joined the firm's Corporate Practice Group as a partner in its Miami office. Croland further strengthens Duane Morris' corporate, securities and venture capital practices, particularly in the areas of technology and life sciences transactions. Croland joins the firm from Edwards Wildman Palmer LLP.

Croland focuses his practice in all areas of corporate law, with a concentration on private equity financings; emerging companies; mergers and acquisitions; and securities. Croland counsels domestic and foreign corporations on a range of securities transactions, including public and private offerings of equity and debt; tender offers; proxy contests; going private transactions; and recapitalizations. He also advises startup companies and entrepreneurs, venture capital companies, underwriters and sellers and purchasers of businesses. In addition, Croland advises numerous technology-based growth companies on venture capital financings, strategic alliances, licenses, development and supply and distribution arrangements.

Croland regularly presents to biotech and public corporation associations at conferences and seminars on topics that include corporate agreements, SEC disclosure documents, corporate governance, mergers and acquisitions, website disclosures, and due diligence. He is also a frequent lecturer on venture capital financing and public offerings.

Croland is a director of BioFlorida and secretary of the BioFlorida Institute's Founding Board of Directors. He is also a director of Southeast BIO, and serves as a director and member of the Executive Committee of the Florida Research Consortium.

From 1980 to 1982, Croland served as a senior attorney with the SEC's Division of Corporation Finance in Washington, D.C. In this capacity, he reviewed and commented on registration statements; proxy materials for annual and special shareholder meetings; and annual, quarterly and other periodic reports filed with the SEC; and he also drafted SEC no-action letters.

Croland earned his LL.M. in Securities Regulations in 1981 from the Georgetown University Law Center and his J.D. in 1978 from Cleveland Marshall College of Law, where he was associate editor of the Law Review. In 1972, he earned his B.A. in Chemistry from Williams College.
