Duane Morris Chicago Office Continues Growth with Addition of Corporate Partner Steven J. Gray
CHICAGO, July 22, 2009—Duane Morris LLP is pleased to announce that corporate attorney Steven J. Gray has joined the firm as a partner in its Chicago office. His arrival marks the third partner making a move to the firm in Chicago this year, following the arrivals of litigators Gordon Walton and Paul E. Chronis. Gray, who was previously a partner at Sonnenschein Nath & Rosenthal LLP, further strengthens Duane Morris' national Corporate Practice Group.
Gray represents public and private companies and their boards of directors in connection with general corporate governance and compliance, mergers and acquisitions, and new business ventures. Gray has also represented public companies in SEC, stock exchange and shareholder matters. He has assisted clients in all aspects of the capital formation process, representing corporate issuers and underwriters in securities transactions that include registered public equity and debt financings, Rule 144A/Regulation S institutional placements, PIPE transactions and traditional private placements.
In addition, he represents investment advisors and investment companies in all aspects of fund formation, capital raising, governance and legal compliance. He regularly advises investment advisors on SEC regulation and compliance matters. Gray is also engaged by domestic and offshore clients on organizing, structuring, marketing and operating hedge funds and other investment entities.
Gray counsels banks and corporate clients in a variety of commercial loan transactions, such as secured asset-based and cash-flow financings. He has extensive experience representing underwriters in bond and other financings for municipalities and governmental entities, and his transaction experience encompasses general obligation and revenue bonds, industrial development bonds, multifamily housing bonds, tax-increment financings, and secondary market and derivative product offerings.
Gray is a 1987 graduate of Case Western Reserve University School of Law and a graduate of the University of Notre Dame (M.B.A., with honors, 1982; B.A., Great Books Program, 1979).
