Duane Morris has extensive experience with the financing of complex private and public projects, often representing corporations and financial institutions on a regional, national and international level. Our attorneys counsel clients in numerous types of transactions covering nearly every aspect of municipal, project and structured finance transactions. Our public finance attorneys represent national and regional investment banking firms underwriting tax-exempt and taxable state and local government debt, act as bond counsel and special tax counsel for issuers and represent domestic and foreign institutions providing credit enhancement for tax-exempt financing. Our project and structured finance attorneys represent clients in acquisition financings, securitized and syndicated loans, and other complex financial transactions. Duane Morris served as counsel to Bear, Stearns & Co., Inc., the lead underwriter in connection with the issuance of more than $300 million of bonds, in a $1 billion transaction of the Philadelphia Authority for Industrial Development to build new stadiums for the Philadelphia Eagles and the Philadelphia Phillies. We also represented the providers of the balance of the financing for the stadiums in addition to the bond financing. The Eagles' new stadium, Lincoln Financial Field, opened in September 2003 and the Phillies' Citizens Bank Park opened in April 2004, giving Philadelphia two first-class public stadiums to mark the city's continued resurgence.

For FleetBoston Financial Corporation, Duane Morris has assisted on several multimillion dollar financing deals, including a $45.5 million transaction for a community college's campus expansion project. Additionally, we represented FleetBoston in a $48 million transaction to provide a revolving line of credit to a health care facility.

Duane Morris represents Wachovia Bank, NA in documenting many of its complex commercial loan transactions. Recently, Duane Morris documented a $60 million syndicated multi-bank transaction, in which Wachovia acted as agent, and a separate $20 million loan by Wachovia to a manufacturer of men's and boys' clothing to finance an acquisition and for working capital.

Duane Morris represents the Philadelphia Housing Authority (PHA), one of the nation's largest public housing authorities, which develops and provides low to moderate income housing to more than 78,000 people in Philadelphia. Duane Morris provides assistance in the complex public and private financing transactions needed by the PHA for its developments. We recently assisted the PHA in several of Philadelphia's high profile revitalization efforts, which include the $170 million, 550-home Tasker neighborhood development; the $74 million, 247-home Martin Luther King development; and the $24 million overhaul of the Suffolk Manor senior citizen home. In these development initiatives, Duane Morris helped the PHA obtain financing through a variety of grants, government bond issues, private activity tax-exempt bonds, federal HOPE funds, and Low Income Housing Tax Credits.
