Braxton Pitts practices in the area of corporate law, advising clients on securities and corporate governance matters, including Exchange Act reporting, Section 16 compliance, stock exchange regulations, and stockholder and board meeting matters. He also represents clients in, among others, the energy, private equity, construction, beverage, and entertainment industries with respect to mergers, acquisitions, investments, and other day-to-day corporate matters. In addition, Mr. Pitts also has experience representing national and international issuers and financial institutions in public and private offerings of debt and equity securities.
Mr. Pitts is a 2019 graduate of the University of Chicago Law School and a summa cum laude graduate of Birmingham-Southern College, where he was elected to Phi Beta Kappa.

Represented an investment partnership in connection with the multi-million-dollar purchase of a Texas commercial construction company.
Represented Quanta Services, Inc., an electric, pipeline and communications infrastructure services company, in its acquisition of Power Engineering Services, LLC.
Represented J.P. Morgan Securities LLC, as representative of the underwriters, in the offering of 300,000 units by Nine Energy Service, Inc., an oilfield services company; each consisting of $1,000 principal amount of 13.000% senior secured notes due 2028 and five shares of common stock of Nine Energy Service, Inc.
Represented Essential Utilities, Inc., a water, wastewater and natural gas utilities services provider, as issuer in its Rule 415 sale of up to $500 million of common stock in connection with its at-the-market program.
Represented Teine Energy Ltd., an oil and gas exploration, development and production company, as issuer in its $400 million Rule 144A offering of 6.875% senior unsecured notes due 2029.
Represented Citigroup Global Markets Inc., Mizuho Securities USA LLC, MUFG Securities Americas Inc., Truist Securities, Inc. and Wells Fargo Securities, LLC, as lead dealer managers, in an offer to purchase $1 billion aggregate amount of outstanding notes by Apache Corporation, an oil and gas exploration company.
Represented Golub Capital LLC as subscriber to $68 million of convertible notes offered in a Section 4(a)(2) private placement by Crown PropTech Acquisitions, a special purpose acquisition company, in connection with its acquisition of Brivo, Inc., a cloud-based security company.
Represented dealer managers in an offer to exchange any and all outstanding notes issued by Cimarex Energy Co., an oil and gas exploration company, by Cabot Oil & Gas Corporation, in connection with its acquisition of Cimarex Energy Co.
Represented Garda World Security Corporation, a private security company, as issuer in its $500 million Rule 144A offering of 6.000% senior unsecured notes due 2029.
Represented J. P. Morgan Securities LLC, RBC Capital Markets, LLC and Barclays Capital Inc., as representatives of the several initial purchasers, in the $2 billion Rule 144A offering of 7.500% senior secured notes due 2026 by NGL Energy Partners LP, a midstream energy company.
