Robert W. Kadlec has more than 35 years of experience representing clients in a wide range of mergers and acquisitions, corporate financing transactions, corporate governance and securities law matters. Mr. Kadlec has extensive experience advising both private equity and corporate clients with leveraged buyouts and recapitalizations, minority investments, joint ventures and public company acquisitions and SEC reporting, among other matters.
In addition to his role as a team lead for Duane Morris’ Fintech industry group, Mr. Kadlec has advised clients in a wide range of transactions in technology-driven industries, such as financial services, solar and renewable energy, aerospace and healthcare.
Mr. Kadlec received his J.D. from New York University School of Law and his B.S. from University of North Carolina at Chapel Hill. He is a certified public accountant.
Represented SunPower Corporation (Nasdaq: SPWR), a leading solar technology and energy services provider, in a $165 million acquisition of Blue Raven Solar, one of the fastest growing U.S. residential solar providers, and 35 percent of Albatross Software, LLC, the owner of internally developed scheduling and tracking software used by Blue Raven.
Represented an SEC-registered investment advisor and operating platform specializing in acquiring residential real estate mortgages in connection with a preferred equity investment in it by a real estate investment firm.
Advised Market Street Advisors, Inc. dba Archer®, a technology-enabled service provider to the investment management industry, in a leveraged recapitalization that included a growth investment by LLR Partners, the redemption of NewSpring Capital’s investment, a loan facility from Silicon Valley Bank and a corporate restructuring.
Served as lead M&A counsel relating to asset purchase agreement and stockholders agreement spin-off of a microinverter business in connection with long-term master supply agreement.
Represented SunPower (Nasdaq: SPWR) in a series of minority investments in members of SunPower’s dealer network as part of SunPower’s Dealer Accelerator Program.
Representing Houlihan Lokey, Inc. (NYSE: HLI) in its acquisition of Freeman & Co. LLC, an independent advisory firm in the financial services industry.
Represented Century Park Capital Partners in its acquisition of Dominion Youth Services, a leading provider of behavioral health services to children and young adults across Virginia.
Served as lead M&A counsel representing SunPower (Nasdaq: SPWR) in connection with bid for and acquisition of SolarWorld Americas, Inc.
Represented Century Park Capital in connection with the sale of Cirtec Medical, LLC a third party medical device manufacturer, to 3i Group plc and the simultaneous acquisition of Top Tool Company.
Represented Precision Mechatronics Pty. Ltd. of Australia in connection with its acquisition of Surfx Technologies LLC, a developer of atmospheric plasma tools.
Represented seller in connection with the sale of an independent chain of Hispanic grocery stores in Southern California to an independently-owned chain of SoCal grocery stores.
Represented New York Home Health Holdings/Honor Health Network, a provider of home healthcare services, in connection with its multimillion-dollar sale by its members to Webster Capital, a financial sponsor.
Represented Tyson Foods, Inc. (NYSE: TSN) in connection with its acquisition of Circle Foods, LLC.
Represented Synopsys, Inc. (Nasdaq: SNPS) and its subsidiary Synopsys Taiwan Limited in connection with its acquisition of SpringSoft Inc., a Taiwan-based software company.
