Veronica C. Law focuses her practice on complex commercial real estate transactions and financial institution representation. With more than 20 years’ experience handling an array of transactional work for private businesses, non-profits, governmental entities, and individuals, Ms. Law represents clients in matters involving real estate, finance and other commercial transactions. Her real estate work encompasses acquisitions and dispositions, leasing, financing and development. She represents office condominium developers and has experience in retail, multifamily, industrial and warehouse. 

Ms. Law’s deep business perspective derives from having served as General Counsel of a B2B provider of wholesale products to the auto and RV industry; in-house counsel at an insurance syndicate; and consultant to the Real Estate Department at Dallas/Fort Worth International Airport. Her industry focus is Banking and Finance and Construction and Engineering; additional industries include energy, education and retail/consumer.

Ms. Law’s community is a huge part of her life, and she devotes much of her time outside work to various Fort Worth nonprofit, community-building, and charitable endeavors, including Chairwoman of the Board of Directors for Fort Worth Sister Cities International, President of the Board of Directors for Leadership Fort Worth, member of the Advisory Committee for Tarrant County District 9 for the Minority/Women Owned Business Enterprise (MWBE), on the Board of Directors of the AIDS Outreach Center, and the Board of Governors of The Fort Worth Club.

Ms. Law has been recognized by both her community and within the legal profession. Some of her more notable honors include having been elected to Tarrant County College’s Board of Trustees, representing District 7; being selected as one of Fort Worth’s 400 Most Influential People by Fort Worth Magazine for 2022 through 2024; and having been selected as one of Fort Worth’s 500 Most Influential People by Fort Worth Magazine for 2025 – one of only 20 attorneys included. 

Ms. Law graduated from University of Colorado at Boulder with a Bachelor of Arts in Economics with Business Emphasis, magna cum laude, and earned her law degree from the University of Colorado School of Law.

Representative Matters

    Real Estate Transactions

  • Represented regional electricity delivery company in connection with its participation in $1.5 billion project to bring wind-generated electricity from Texas panhandle to other parts of Texas, including managing right-of-way agents and eminent domain counsel, negotiating easements for electric transmission power lines, and preparing easement instruments.

  • Created a Texas office condominium regime consisting of covenants, conditions, easements and restrictions, rules and regulations, condominium information statements and related plats and maps for a developer, including packaging regime for sale to an investor.

  • Counseled developer client on the economic and infrastructure benefits of developing land with a condominium regime versus subdividing property via re-platting process, including consulting with engineers to prepare condominium specific plat maps and surveys.

  • Represented franchisee of Hilton Express Hotels in $8 million refinancing from syndicated lender, including securing, negotiating, and drafting loan documents and counseling client through due diligence aspects of loan to be sold to CMBS issuer.

  • Negotiated early terminations of leases to enable glass manufacturer to relocate to larger purchased industrial and warehouse facilities to facilitate achieving economies of scale for client; representation included negotiations and preparation of all purchase documents, title and survey review and objections, conveyance documents and subsequent leases for unused warehouse space.

  • Advised the Dallas Fort Worth International Airport as a member of the real estate consulting team engaged to manage mitigation for construction of a new airport runway, including advising on relocation packages, negotiating and facilitating the purchase and subsequent re-sale of residential property impacted by project, and preparing temporary leases for purchased residential homes.

  • Primary outside counsel to large national residential and commercial real estate brokerage firm in connection with setting up affiliated offices to handle various brokerage-related activities; work included assisting client in securing Texas Real Estate Commission entity licenses and advising on ancillary issues, such as legality of non-competes and non-solicitations, use of independent contractors versus employees, and broker succession planning.

  • Represented purchaser of a pad site to be developed with a franchised hotel by successfully working with title insurer’s general counsel to structure a plan for the removal of title encumbrances on pad site.
  • Finance Transactions

  • Represented a leading manufacturer of fiber optic cable in connection with a forbearance agreement with its line of credit lender, permitting payment over time so that it remained in business.

  • Represented a manufacturing company positioning itself for sale, including a loan workout with client’s line of credit lender resulting from loan covenant defaults, a dispute workout with client’s equipment lessor, resulting in the termination of an above market large equipment lease to improve client’s financial statement, and negotiation of a stock purchase and sale agreement.

  • Leveraged background representing lenders to counsel a mid-market oil and gas services business with respect to debt financing to free up cash; negotiated several borrower-favorable provisions for resulting loan documents.

  • Represented Fortune 500 banks and regional and community banks in connection with negotiating and documenting private wealth and multimillion dollar commercial term loans and renewals secured by real and personal property used in the operations of hotels, healthcare facilities, industrial warehouses, movie theaters, retail strip centers. Representation included extensive title review, facilitation of interest rate swap agreements, preparation of personal guaranty agreements, UCC searches, preparation and filing UCC financing statements, drafting and reviewing lien subordination agreements, stand-still agreements, subordination and non-disturbance agreements, and estoppel certificates.
  • Represented local non-profit business development entity with respect to management duties in connection with local TIF, including managing the refinancing of multi-million-dollar HUD secured loan for low-income housing project on the east side of downtown Fort Worth and negotiating applicable loan and entity authorization documents.

  • Other Real Estate and Finance Related Transactional Work

  • Formed corporations, limited partnerships, limited liability partnerships, limited liability companies, and professional corporations in Texas as well as in various other states; drafted related bylaws, partnership agreements, company agreements, annual and special meeting minutes, organizational resolutions, and buy-sell agreements.

  • Conducted real property foreclosure proceedings for private lenders, including drafting and preparing notice of intent to accelerate, notice of acceleration, notice of foreclosure, and sheriffs’ deeds.

  • Represented numerous emerging small businesses in a broad range of industries with respect to entity selection, capitalization, and regulatory compliance; representative industries include real estate, medical, professional services, equipment manufacturers, retail services, residential and commercial development, age-restricted condominium developers, restaurants, and funeral, burial and cremation service providers.
