Elisa M. Walker practices in the area of taxation, representing clients in Private Equity fund formation, designing tax-efficient legal structures, negotiating and drafting transactional tax agreements, navigating the purchase and sale of tax credits, particularly in the energy space, and a range of tax controversy matters. In addition to energy, Ms. Walker counsels clients in the education, technology, healthcare, financial services and real estate.
In the areas of fund formation and partnership taxation, Ms. Walker assists clients with planning, structuring, drafting and negotiating, in a tax-efficient manner, agreements involving sophisticated and complex private equity funds, hedge funds, real estate funds, venture capital funds and joint ventures. Ms. Walker also assists clients with domestic and international transactional tax matters, including planning and structuring corporate mergers, acquisitions and reorganizations, as well as advising on and drafting agreements for taxable stock sales, the purchase and sale of partnership interests and a variety of cross-border transactions.
Ms. Walker regularly advises clients on a range of energy tax credit matters, including the purchase and sale of energy tax credits.
Ms. Walker also represents individuals and entities in complex tax controversy matters involving disputes with the Internal Revenue Service, including examinations, appeals, litigation and collections. Her experience includes negotiating settlement offers with the IRS Independent Office of Appeals and representing clients before the United States Tax Court.
Ms. Walker started her career in Ernst & Young's international transaction taxation practice. She went on to serve as a judicial clerk to the Honorable Judge Ronald Buch of the United States Tax Court.
Ms. Walker is a 2017 cum laude graduate of the Florida State University College of Law, where she was the Editor-in-Chief of the Florida State University Law Review. In 2020, she received an LL.M. in Taxation from the University of Florida Levin College of Law, where she was a graduate student editor for the Florida Tax Review.
