NEWARK, April 20, 2016—James T. Seery and Dean M. Colucci have joined Duane Morris LLP’s Corporate Practice Group as partners in the firm’s Newark, N.J. office. Seery and Colucci further strengthen Duane Morris’ corporate practice in the New York metropolitan area, as well as nationally and internationally. Both join Duane Morris from LeClairRyan.

Seery led LeClairRyan’s Capital Markets Practice Area Team. He focuses his practice on corporate finance, mergers and acquisitions and general corporate law. Seery’s experience includes public and private offerings of debt, equity and convertible securities, acquisitions of public and private entities, and special committee representation. He has extensive experience counseling underwriters and issuers seeking to raise capital through alternative structures, including at-the-market (ATM) transactions. Seery has advised clients in ATM transactions in a variety of industry sectors, including automotive, aviation, banking, energy, financial services, life sciences, natural resources, REITs and real estate, telecommunications and technology.

Seery also counsels public and private clients with respect to SEC reporting, corporate governance and M&A. In addition, Seery represents traditional and non-traditional lenders and borrowers, including banks, in secured and unsecured financings.

Seery is a 1990 graduate of Rutgers University School of Law and a 1984 graduate of Fairleigh Dickinson University.

Colucci’s broad-based corporate finance practice focuses on capital markets, M&A, structured transactions, and infrastructure development and finance. Prior to joining LeClairRyan, he was president and head of investment banking at MLV & Co in New York. During Colucci’s five-year tenure at MLV, the bank’s annual revenue grew from just under $5 million to approximately $30 million.

In his experience as both a lawyer and an investment banker, Colucci has been involved in more than 250 capital markets transactions with an aggregate notional market value of more than $15 billion for companies in such diverse sectors as energy, REITs and real estate, life sciences, financial services, transportation, technology, MLPs, and oil and gas. He was at the forefront of developing several ATM offering products for equity, debt, preferred and convertible securities. He has applied this technology to a variety of dual-listed issuers in Australia, Canada, Europe and Israel. In addition, Colucci has structured a variety of equity, debt and hybrid security products that have enabled issuers to raise capital more efficiently.

In M&A, Colucci has advised both public and private companies, financial sponsors and family offices in connection with all types of business combinations, control and non-control investments as well as joint ventures. He has also counseled financial advisors in connection with fairness opinions given in these types of transactions.

Colucci has extensive experience with various types of asset-based lending facilities, warehouse facilities and ABS structures, as well as the acquisition and financing of receivables-based portfolios. In this area, he has closed on more than $4 billion in financing transactions on behalf of both lender and borrower clients. Colucci has also represented companies in the development, financing, acquisition and sale of several billion dollars of infrastructure assets across the real estate, energy, renewable energy, telecommunications, water, manufacturing, transportation, entertainment, hospitality and tourism industries.

Colucci is a 1993 graduate of the George Mason University School of Law and earned a Master of International Affairs degree from the Columbia University School of International and Public Affairs in 1988. He is a 1983 graduate of Cornell University’s College of Arts and Sciences.
