Dianne A. Meyer is chair of the Commercial Finance Practice Group. She practices in the areas of commercial finance, representing lenders and borrowers in secured and unsecured commercial lending transactions. She also practices in the area of municipal finance, acting as bond counsel, counsel to underwriters, borrower's counsel and counsel to credit enhancers on tax-exempt and taxable municipal finance transactions.
Ms. Meyer has extensive experience representing lending institutions in syndicated and other multibank loan transactions both in domestic and international transactions and also specializes in asset-based lending transactions.
The current edition of Chambers USA: America's Leading Lawyers for Business lists Duane Morris as having one of the top banking and finance practices in Pennsylvania, and cites Ms. Meyer as a leader in the field.
Ms. Meyer is a member of the Philadelphia Bar Association. She is also a past president of the Pennsylvania Association of Bond Lawyers and currently serves as secretary for that organization. She is also a member of the National Association of Bond Lawyers.
Ms. Meyer is a 1986 graduate of the University of Pennsylvania Law School and a graduate of Villanova University. Prior to attending law school, she was a certified public accountant.

- Represented the agent and lead lender in a $400,000,000 joint financing for a hospital system to build an new hospital facility.
- Bond Counsel to the Pennsylvania Economic Development Financing Authority in its $10,000,000 issuance of manufacturing facility revenue bonds that closed in 2007.
- Bond Counsel to the Pennsylvania Economic Development Financing Authority in its $25,100,000 issuance of water facility revenue bonds that closed in 2007.
- Represented the agent and lead lender in an unsecured $90,000,000 multibank transaction for a wholesale distributor of computers and computer-related products.
- Represented the agent and lead lender in a secured $90,000,000 multi-bank transaction for a borrower in the garment industry.
- Represented the agent and lead lender in a secured $100,000,000 multibank transaction for a borrower that sells and finances trucks and heavy equipment for small businesses.
- Represented the University of San Diego in $93,000,000 variable rate tax-exempt municipal bond financing enhanced by a letter of credit of BNP Paribas. The proceeds were used to finance the construction of various capital program on the University's campus.
- Bond counsel to the Pennsylvania Economic Development Financing Authority in its $40,000,000 issuance of water facility revenue bonds that closed in 2004.
- Representation of Pennsylvania hospitals in $1,726,000,000 series of Commonwealth of Pennsylvania Medical Assistance Pooling transactions involving the Pennsylvania Foundation for the Advancement of Health Care.
- Represented the agent and lead lender in an secured $40,000,000 multibank transaction for specialty industrial equipment.
- Represented the agent and lead lender in a $25,000,000 multibank transaction for a borrower that leases heavy equipment to the construction industry.
- Represented the lender in a secured $27,500,000 letter of credit transaction enhancing a series of tax-exempt bonds for a start-up continuing care retirement community in New Jersey.
- Represented lender in $47,000,000 asset-based lending transaction with U.S. and Canadian facilities. Security interests were taken in assets in the U.S., Canada, United Kingdom, Mexico and Ireland. Duane Morris lawyers, through our United Kingdom office and lawyers with Mexican law background, handled U.S., United Kingdom and Mexico issues and interfaced with Canadian and Irish Counsel.
- Represented lender in a $65,000,000 line of credit to provide back-up liquidity for a variable rate tax-exempt bond issue. This was one of the few transactions of this type closed in the United States.
- Represented the lender in a secured $60,000,000 letter of credit transaction enhancing a series of variable rate tax-exempt bonds for an obligated group of hospitals in Philadelphia.
- Represented lender in a $30,000,000 liquidity facility enhancing a series of variable rate tax-exempt bonds for a university in Philadelphia.
- Represented the borrower in a $28,000,000 fixed rate tax-exempt bond transaction.
- Represented the agent and lead lender in a $40,000,000 multibank acquisition financing transaction for a borrower in the pharmaceutical industry to acquire off-patent drugs.
- Represented the lender in a $60,000,000 letter of credit transaction enhancing three series of tax-exempt bonds for continuing care retirement communities located in the Philadelphia area.
- Represented the lender in a $40,000,000 secured acquisition financing for a borrower in the container industry.
- Represented the lender in a $12,000,000 senior secured financing with investor subordinated debt.
- Represented the lender in a $25,000,000 liquidity facility enhancing a series of variable rate tax-exempt bonds for a health system in Harrisburg, Pennsylvania.
- Represented two lenders in separate liquidity facilities aggregating approximately $54,000,000 enhancing two separate series of tax-exempt bonds for the same borrower.
- Represented the lender in a secured $24,000,000 letter of credit transaction enhancing a series of tax-exempt bonds for a new children's hospital in New Jersey. The total financing was $65,000,000.
- Reviewed syndicated loan transactions on behalf of a lender buying a portion of facilities aggregating approximately $1,000,000,000.
