BALTIMORE and NEW YORK, January 10, 2019—Duane Morris LLP has named partners Michael C. Hardy of the firm’s Baltimore office and Nanette C. Heide of the firm’s New York office as co-chairs of the Private Equity division of the Corporate Practice Group

“Nanette and Mike each have strong experience in private equity transactions and bring to this new assignment a high degree of enthusiasm and commitment to continuing the success and expansion of the Private Equity division of the Corporate Practice Group,” said Brian P. Kerwin, chair of Duane Morris’ Corporate Practice Group. “They will bring some fresh and exciting ideas to the business and will exert their energies to growing the division both organically and through key lateral hires.”

Nanette C. Heide practices corporate law in the area of transactions and general corporate counseling. She represents private equity and venture capital investors, multinational and domestic corporations (public and private) in a wide spectrum of corporate finance transactions, including private equity and venture capital investments, institutional private placements, cross-border transactions, debt and equity structuring transactions, mergers and acquisitions, reverse mergers, joint ventures and strategic alliances. She also has formed and structured private equity and hedge funds. Heide serves as outside counsel for many mid-sized companies on issues of corporate governance, securities law compliance, general commercial transactions and disclosure issues. Her clients span a wide variety of industries, from fashion, retail and consumer products to communications, media and internet-based businesses.

Heide is a graduate of Washington and Lee University School of Law, where she was editor in chief of Washington and Lee Law News, and a graduate of West Virginia University. She is the incoming chair of the Private Equity Subcommittee of the International Bar Association’s Corporate and M&A Law Committee.

Michael C. Hardy represents clients in connection with complex mergers and acquisitions, financings and other strategic transactions domestically and internationally. Hardy has extensive experience advising private equity sponsors and their portfolio companies in a broad range of industries. His private equity clients include growth equity funds, large institutional investors, private credit and special situations funds, independent sponsors, family offices, SBIC funds and other nonbank lenders. Hardy also regularly advises regulated financial institutions and borrowers regarding lending transactions.

Hardy is a graduate of Vanderbilt University Law School and holds a business degree from Towson University. He is a member of ACG Maryland’s board of directors and executive committee and is chair of the Middle Market Committee of the Business Law Section of the Maryland State Bar Association.
